Terms of Service

1. Acceptance

By accessing or using iepOS (the "Service"), you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy. If you are using iepOS on behalf of a school district or organization, you represent that you have authority to bind that organization to these Terms.

iepOS is provided by ZLDA Group, LLC, a Florida limited liability company doing business as iepOS ("Company," "we," or "us"). If you do not agree to these Terms, do not use the Service.

2. Eligibility

iepOS is designed for use by licensed K-12 school districts, their employees, and parents or guardians of enrolled students. You must be at least 18 years old to create an account. Student accounts are provisioned by school districts only.

3. Accounts and Access

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at tanis@zldagroup.com if you suspect unauthorized access.

Access is role-based. You may only access data your role permits as configured by your district administrator. Attempting to access data beyond your assigned permissions is a material breach of these Terms.

4. Permitted Use

iepOS is licensed for the purposes of managing Individualized Education Programs, tracking student progress toward IEP goals, facilitating communication between educators and families, and maintaining IDEA compliance documentation.

You may not: (a) reverse engineer or attempt to extract source code from the Service; (b) use the Service to build a competing product; (c) share student education records with unauthorized parties; (d) use automated scripts or bots to access the Service without prior written consent.

5. AI-Generated Content

iepOS uses AI to assist with drafting progress notes, goal suggestions, and meeting summaries. All AI-generated content requires human review and approval before it is saved or shared. AI suggestions are not legally binding IEP documents until approved by a qualified educator. You are responsible for reviewing and approving all AI outputs before use.

6. Student Data & FERPA

Student education records processed through iepOS remain the property of the school district. We process such records only as directed by the district under a signed Data Processing Agreement (DPA). Districts may request deletion of all student data upon contract termination.

7. Service Availability

We target 99.9% monthly uptime for the core platform. Planned maintenance will be announced at least 48 hours in advance. We are not liable for interruptions caused by third-party services (Neon Postgres, Netlify, Vercel, etc.) or force majeure events.

8. Limitation of Liability

To the maximum extent permitted by law, ZLDA Group, LLC shall not be liable for indirect, incidental, special, or consequential damages arising from your use of or inability to use the Service. Our aggregate liability for any claim shall not exceed the amount paid by you in the 12 months preceding the claim.

9. Termination

Either party may terminate the Service relationship with 30 days' written notice. We may terminate immediately for material breach, including unauthorized data access. Upon termination, your access will be revoked and student data will be deleted per Section 5 of our Privacy Policy.

10. Governing Law

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Disputes shall be resolved by binding arbitration in accordance with the AAA rules, except that either party may seek injunctive relief in court for IP violations.
